Terms and Conditions

RSP Supply Terms and Conditions of Sale 

Estimates: All prices and/or discounts are predicated on receiving an order for the quantities as listed. Any delivery date shown reflects current availability and is subject to prior sale. Prices are valid for 30 days from the date of the estimate, unless otherwise stated. In the event of an upcoming manufacturer price increase, the estimated validity date will be updated to reflect. 

Conditions of Order: All orders are subject to acceptance by RSP Supply. Seller may verify Buyer’s payment method, shipping address, and any applicable tax exemptions before processing an order. All sales are expressly conditional on Buyer’s agreement to the standard terms and conditions herein. Any of the terms and provisions of Buyer ’s order which are inconsistent with or in addition to the terms and conditions hereof shall not be binding on Seller and shall not be considered applicable to the sale or shipment of the merchandise referred to herein. Unless Buyer shall notify Seller in writing to the contrary as soon as practicable after Buyer’s receipt hereof, acceptance of the terms and conditions hereof by Buyer shall be indicated, and, in the absence of such notification, the sale and shipment by Seller of the merchandise covered hereby shall be conclusively deemed to be subject to the terms and conditions hereof. 

International Sales: Billing and shipping addresses must match for credit card payments; otherwise, a wire transfer is required. The Seller will not be responsible for taxes or duties assessed at customs. All orders shipping outside the U.S. or Canada must use Buyer’s third-party freight account (e.g., DHL, FedEx, etc.). Incoming freight charges will apply for international shipments. 

Production and Delivery Delays: Due to global supply chain and material issues, lead times quoted are not guaranteed and orders confirmed are subject to change. The Seller will notify Buyer promptly of material delay and will specify the revised delivery as soon as possible. Seller shall not be liable for delays in delivery or performance, or for failure to manufacture, deliver or perform from causes beyond its reasonable control, including but not limited to acts of God, governmental actions, labor strikes, pandemics, transportation delays, natural disasters, cyberattacks, or shortages of materials or components.  

Changes: Any changes requested to the sale, e.g., specifications, quantities, or schedule, are not binding unless RSP Supply accepts and confirms these changes in writing. Any changes may lead to additional charges. The Buyer agrees to pay these charges when the Buyer requests and agrees to these changes. 

Cancellations: Order cancellations will not be processed until explicitly accepted and agreed upon by RSP Supply in writing.  

Non-Cancellable Items: Some items may not be cancelable, even if not explicitly listed as non-cancellable/non-returnable if they are in the following stages: In Production, Staged for Shipping, In Transit. Buyers should contact RSP Supply immediately regarding cancellation requests. If a cancellation is approved, Buyer may still be responsible for any costs incurred up to that point.  

Non-Refundable Charges: Custom orders, fabrication services, special sourcing, and items marked as "non-cancellable/non-returnable" are not eligible for refunds. Any associated fees or deposits for these services are non-refundable once the order is in progress. 

Payment: RSP Supply accepts the following payment methods – Credit Card (American Express, Mastercard, Discover, Visa), Check (If payment is submitted with a check or ACH, funds will be held for 10 business days prior to the order being released), Wire Transfer. Orders will not be processed until funds are received/settled, unless Buyer has an established Net30 account with Seller. The buyer's submission of payment constitutes acceptance of the quoted products, pricing, and these terms and conditions. RSP Supply reserves the right to cancel or delay orders pending verification of payment or in cases of suspected fraud. 

Warranty & Liability: RSP Supply transfers manufacturer warranties where applicable. RSP Supply does not provide additional warranties beyond those of the manufacturer. RSP Supply is not responsible for damages, improper use, or failure to follow manufacturer guidelines.  

To the fullest extent permitted by law, RSP Supply shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to the use or inability to use the products sold, even if advised of the possibility of such damage. In no event shall RSP Supply’s total liability exceed the amount paid by the Buyer for the specific product(s) giving rise to the claim. 

Export Compliance: RSP Supply complies with U.S. export control laws and restrictions. Certain products may not be available for international shipping. The Buyer is responsible for obtaining necessary import licenses, duties, and compliance with local regulations. 

Intellectual Property: All designs, drawings, technical data, and documentation provided by RSP Supply are the property of RSP Supply and may not be used, copied, or distributed without prior written consent. Any custom designs or modifications created for the Buyer remain the intellectual property of RSP Supply unless otherwise agreed in writing. 

Returns: Merchandise is not returnable without the written consent of Seller. Requests for permission to return must be made within 30 days after receipt of shipment. The Seller will assign an authorized RMA number for approved returns, which must appear on both the customer’s shipping container and the related debit memo. Only current items in their original packaging in new and unused condition are subject to return. All unauthorized returns will be sent back to the Buyer at the Buyer ’s expense. Return shipments must be prepaid by the customer and shipped in accordance with the instructions set forth on the return authorization form. Credit will be issued upon Seller’s receipt and inspection of the approved return to ensure the product is in unused, resalable condition. Credits or refunds may take up to 14 business days to process and will be refunded via the original payment method, unless otherwise agreed in writing. Restocking Fees: Approved returns may be subject to a restocking fee of up to 35% of the product price, depending on the item’s condition and manufacturer return policy. The exact fee, if applicable, will be communicated at the time of return authorization. 

 Shipping: FOB (Free on Board) shipping terms are shipping point on ALL shipments. Shipments that qualify for free ground will be paid for and arranged by RSP Supply. FOB shipping point terms designate ownership is transferred to the buyer once the product has left the shipping origin (point); at this point ownership and responsibility is transferred to the buyer. If a shipment is lost or damaged in transit and the shipment is billed to RSP Supply’s shipping account, Seller will assist in arranging either a trace or claim. Shipments without insurance under FedEx and UPS’s terms are only eligible for a claim amount (up to $100).  Additional shipping services are available at an additional charge, including but not limited to: Freight and Parcel Insurance, Expedited Shipping, Signature Delivery, Residential Delivery Fees, Limited Access Fees, etc. It is the Buyer’s responsibility to determine if additional services are required for their shipment. RSP Supply strongly recommends requesting signature delivery and insurance for high-value or time-sensitive shipments to avoid lost, stolen, or damaged products.  

 FOB Shipping Terms: FOB Terms outline responsibilities in a goods transaction. The seller covers delivery and loading costs onto the transport vehicle. Once loaded, risk shifts to the buyer, including transport expenses and potential damage when applicable. Both parties agree on the FOB point, specifying when responsibility transfers. Proof of delivery provided by the carrier shall constitute conclusive evidence that the order was received. RSP Supply is not liable for packages marked as delivered by the carrier. If signature delivery was not requested at the time of order, lost or stolen package claims may be denied. 

 Delayed or Missing Shipments: All shipments are tracked and documented through verified carriers. Once the product leaves Seller’s facility under FOB Shipping Point terms, RSP Supply is not responsible for delayed or missing shipments unless additional services (e.g., insurance, signature delivery) were explicitly requested and paid for by the Buyer. Disputes related to lost or undelivered goods without these services will not be honored.

Credit Card Authorization & Disputes: By submitting a credit card as the payment method, Buyer agrees and affirms that they are authorized to use the card and approve all charges associated with the purchase. All transactions are subject to verification and approval by the issuing bank.  In the event of a dispute or chargeback, Buyer agrees to first contact RSP Supply within 7 business days of the transaction to resolve any concerns prior to initiating a dispute with their bank. Unauthorized chargebacks will be considered a breach of contract, and RSP Supply reserves the right to pursue legal or collection action, including recovery of all fees and losses incurred due to the chargeback. Orders flagged as high-risk, or placed by new customers, may be subject to identity verification prior to shipment. 

Additional Disclaimers 

a. Product Descriptions and Availability - RSP Supply strives to provide accurate and up-to-date product information, including specifications, descriptions, images, and availability, across all sales channels. However, due to the ever-changing nature of inventory and manufacturer updates, some content may occasionally contain inaccuracies or become outdated. In such cases, RSP Supply reserves the right to make corrections to product details at any time and without prior notice.  If any material discrepancy is identified that may affect your order, The Seller will notify the Buyer directly to review the information and confirm how the Buyer would like to proceed before the order is processed or shipped. 

b. Pricing Accuracy and Adjustments - RSP Supply makes every reasonable effort to ensure that all pricing information—whether published online, included in formal quotations, or communicated through other channels—is accurate and current. However, typographical errors, system discrepancies, or unanticipated supplier price changes may occasionally occur. In such instances, RSP Supply reserves the right to correct any pricing inaccuracies or omissions prior to order fulfillment. If an adjustment is required, the customer will be promptly notified and provided with the revised pricing, along with any applicable alternatives or options. No order will proceed without the customer’s acknowledgment and approval of the updated terms. Please note that pricing provided on quotes or estimates is typically valid for 30 days unless otherwise noted. In the event of a manufacturer price increase within that time frame, Seller will communicate any necessary adjustments in good faith. 

c. Order Confirmation and Review - All orders are subject to final review and acceptance by RSP Supply. The Seller performs an internal verification process prior to processing any order to ensure accuracy in pricing, product selection, and fulfillment details. If any changes are needed during this step, the Seller will notify the Buyer prior to shipment to confirm approval.

d. Customer Responsibility and Communication - The Buyer is responsible for reviewing all order confirmations, quotations, and related documentation to ensure that product specifications, quantities, pricing, and delivery details are accurate and complete. Timely verification of these documents helps prevent delays and ensures alignment with the customer’s project requirements. Should any discrepancies or questions arise, it is the Buyer's responsibility to notify the Seller. 

e. Right to Modify or Cancel Orders - RSP Supply reserves the right to cancel or modify orders due to material inaccuracies, discontinued items, supplier constraints, or pricing errors. If an order is impacted by such issues, the Seller will reach out promptly to inform you and work toward a mutually acceptable resolution. If a cancellation is necessary and payment has already been processed, a full refund will be issued. 

Email or Electronic Agreement Acknowledgment: By placing an order through RSP Supply’s website, email, or other electronic means, the Buyer agrees to the terms and conditions set forth herein. Electronic communications shall constitute legally binding agreements between the parties. 

Governing Law & Dispute Resolution: RSP Supply’s Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Utah. Any dispute arising out of or related to this agreement shall be resolved exclusively in the state or federal courts located in Salt Lake County, Utah. 

These Terms and Conditions constitute the entire agreement between RSP Supply and Buyer and supersede all prior understandings. RSP Supply reserves the right to update these terms at any time without prior notice. The use of RSP Supply’s services constitutes acceptance of the current terms at the time of transaction.
